What is your ulimit settings?

ulimit -aH
ulimit -aS

Squid uses the lowest of
Max detected at configure time
FD_SETSIZE
MAX_OPEN
Hard rlimit (ulimit)

If you have changed your kernel limits you have to rerun configure, and
do a make clean when recompiling Squid.
